Terms of Service

innovAIte is a technology and AI automation company registered and operating in Willemstad, Curaçao ("innovAIte", "we", "us", or "our"). We provide AI-powered services including, but not limited to, website design and development, AI chatbots, WhatsApp commerce automation, and related digital services to businesses in the Caribbean region and beyond.

By accessing our website at innovaite.io, purchasing any service, signing a proposal, making a payment, or otherwise engaging with innovAIte, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use our services.

These Terms apply to all clients, visitors, and users of our services. We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

innovAIte offers the following categories of services (collectively, "Services"):

• Website Design & Development — Custom websites built for Caribbean businesses, including e-commerce functionality.
• AI Chatbots — Conversational AI assistants for customer support, lead generation, and sales, deployable on websites and messaging platforms.
• WhatsApp Commerce — Automated ordering, booking, and sales flows via WhatsApp Business API.
• AI Business Assessments — Consulting and written reports identifying AI automation opportunities within a client's operations.
• Store as a Service — Fully managed online store solutions with ongoing technical support.
• Custom AI Automation — Bespoke workflow automation, integrations, and AI solutions.

The specific scope, deliverables, and timeline for each engagement are defined in the proposal or order confirmation provided to you before payment. innovAIte reserves the right to modify, suspend, or discontinue any Service at any time with reasonable notice.

4.1 Pricing & Currency

All prices are quoted in US Dollars (USD) unless otherwise stated. Prices displayed on our website or in proposals are exclusive of applicable taxes unless explicitly stated otherwise.

4.2 Turnover Tax (OB)

innovAIte is subject to Curaçao Turnover Tax (Omzetbelasting, "OB") at the current statutory rate of 6%. OB is applied on top of the base service price and is shown separately at checkout. You are responsible for any additional taxes applicable in your own jurisdiction.

4.3 Payment Methods

We accept payment by credit or debit card (processed securely by Stripe), and may accept Sentoo (local payment network) or cryptocurrency for certain transactions. All payment information is processed by our third-party payment providers; innovAIte does not store card details on our own servers.

4.4 One-Time Payments

Some services require a single upfront payment covering the full scope of work. Payment is due at the time of purchase and must be received before work commences.

4.5 Instalment Plans

Certain services may be purchased in three (3) instalments:

• Instalment 1 (50%) — due at time of order, paid before work begins.
• Instalment 2 (35%) — due approximately 30 days after the first payment.
• Instalment 3 (15%) — due upon delivery/completion of the project.

Failure to pay any instalment by its due date may result in suspension of work and/or access to deliverables until the overdue amount is settled.

4.6 Subscription Services

Certain services (such as Store as a Service and Website packages) include a recurring monthly subscription fee billed automatically via Stripe. Subscriptions renew on a monthly basis until cancelled. You may cancel at any time through your billing portal at innovaite.io/account. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued.

4.7 Late Payments

If a scheduled payment fails or is overdue, innovAIte reserves the right to (a) suspend access to deliverables or services, (b) charge a late fee of 2% per month on the outstanding balance, and (c) refer the matter to a collections process after 60 days of non-payment.

Given the custom and digital nature of our Services:

• Pre-work refunds: If you cancel before work has commenced, you are entitled to a full refund of any amount paid.
• Mid-project cancellations: If work has commenced, we will refund only the portion of the payment corresponding to work not yet completed, at our sole reasonable discretion.
• Completed deliverables: No refunds are issued for work that has been completed and delivered.
• Subscription refunds: Monthly subscription fees are non-refundable once the billing period has begun.

To request a refund, contact us at info@innovaite.io within 14 days of the payment in question.

To enable innovAIte to deliver your project successfully, you agree to:

• Provide accurate, complete, and timely information, content, and materials we request.
• Designate a primary contact authorised to make decisions on your behalf.
• Review and approve deliverables within the timelines communicated. Delays caused by you may result in revised delivery dates.
• Ensure you hold all necessary rights, licences, and permissions for any content, images, trademarks, or materials you provide to us.
• Not use our Services for any unlawful, deceptive, or harmful purpose.

7.1 Our IP

All proprietary tools, frameworks, templates, AI models, code libraries, and methodologies developed by innovAIte remain the exclusive property of innovAIte, regardless of whether they are used in your project.

7.2 Your IP

Any content, branding, data, or materials you provide to us remain your property. You grantinnovAIte a limited, non-exclusive licence to use such materials solely to perform the Services.

7.3 Project Deliverables

Upon receipt of full payment, innovAIte assigns to you the rights to the custom deliverables created specifically for your project (e.g. website design, custom code). This assignment excludes any underlying proprietary frameworks or third-party components which remain subject to their respective licences.

7.4 Portfolio Rights

innovAIte reserves the right to showcase completed work in our portfolio, case studies, and marketing materials, unless you request otherwise in writing before project commencement.

Our AI-powered services (chatbots, automation, assessments) are tools intended to assist and augment your business operations. You acknowledge that:

• AI outputs may not always be accurate, complete, or suitable for your specific situation. You remain responsible for reviewing and validating AI-generated content before acting on it.
• The performance of AI tools depends on the quality of data and instructions provided. innovAIte does not guarantee specific business outcomes, revenue increases, or lead generation results.
• AI chatbots may occasionally produce unexpected or incorrect responses. innovAIte is not liable for any decisions made based on AI output.
• You are responsible for ensuring that your use of AI-powered services complies with applicable laws, including consumer protection and advertising regulations in your jurisdiction.

Our Services may integrate with or depend on third-party platforms including Stripe (payments), WhatsApp Business API (Meta), Vercel (hosting), Supabase (database), and others. Use of those platforms is subject to their own terms and privacy policies. innovAIte is not responsible for the availability, accuracy, or conduct of third-party services.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services ("Confidential Information") and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of two (2) years.

To the maximum extent permitted by applicable law, innovAIte's total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total amount paid by you to innovAIte in the three (3) months preceding the claim.

In no event shall innovAIte be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless innovAIte and its team members from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) content or materials you provide to us.

Either party may terminate a services engagement by providing 30 days' written notice. innovAItemay terminate immediately if you breach these Terms, fail to make payments, or engage in conduct that is unlawful or harmful to innovAIte or its reputation.

Upon termination, all outstanding payments for work completed become immediately due. innovAItewill deliver all completed work product for which full payment has been received.

These Terms are governed by and construed in accordance with the laws of Curaçao, Kingdom of the Netherlands, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Willemstad, Curaçao.

innovAIte shall not be liable for any delay or failure to perform its obligations where such failure results from causes beyond our reasonable control, including natural disasters, acts of government, power failures, internet outages, or third-party platform disruptions.
